1. INTRODUCTION
These Terms of Service ("Terms") govern your use of the website riddallbusinessgroup.ca and any services provided by Riddall Business Group Inc. ("RBG," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, Canada.
By accessing our website or engaging our services you agree to be bound by these Terms. If you do not agree — please do not use our website or services.
2. WHO WE ARE
Riddall Business Group Inc. is a technology and business services company based in Chilliwack, British Columbia, Canada. We build custom operating systems for trades and service businesses across Canada and the United States of America under the product name "RBG Trades OS."

3. OUR SERVICES
Riddall Business Group provides the following services:
3.1 RBG Trades OS — Done-For-You Operating System
We design, build, install, test, and train clients on a custom business operating system built inside our platform. This includes pipelines, automations, workflows, forms, funnels, calendars, email templates, SMS sequences, reputation management, and reporting dashboards.
3.2 Ongoing Support and Optimization
Monthly subscription services include platform hosting, technical support, software updates, a 14-day post-launch check-in, and a 30-day optimization session.
3.3 Custom Build Services
Additional features or customizations beyond the standard scope may be provided at an additional cost upon written agreement.
4. SERVICE AGREEMENTS
All services provided by Riddall Business Group are governed by a separate Service Agreement signed by both parties prior to commencement of any work. In the event of any conflict between these Terms of Service and the signed Service Agreement — the Service Agreement prevails.
No work will begin until:
The Service Agreement is signed by the client
Full payment of the setup fee is received
5. WEBSITE USE5.1 Permitted Use
You may use our website for lawful purposes only. You agree not to:
Use the website in any way that violates applicable laws or regulations
Transmit any unsolicited or unauthorized advertising
Attempt to gain unauthorized access to any part of the website
Interfere with the proper working of the website
Copy, reproduce, or distribute any content without written permission
5.2 Intellectual Property
All content on riddallbusinessgroup.ca — including text, graphics, logos, images, and software — is the property of Riddall Business Group Inc. and is protected by Canadian and international copyright laws. You may not reproduce, distribute, or create derivative works without our express written permission.
5.3 Third Party Links
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or accuracy of any third-party websites. Linking to a third-party site does not constitute endorsement.
6. APPLICATION FORM
When you submit an application through our website you are expressing interest in our services — not entering into a binding contract. Submission of an application does not guarantee acceptance as a client. We reserve the right to decline any application at our sole discretion.
7. PAYMENT TERMS7.1 Setup Fee
The one-time setup fee is due in full before any work commences. We do not offer payment plans or installment options. No exceptions.
7.2 Monthly Subscription
Monthly subscription fees begin on the go-live date and are automatically charged to the payment method on file via Stripe on the same date each month.
7.3 Rate Lock
Founding clients (clients 1-25) and all other clients are guaranteed their monthly subscription rate for life at the rate applicable at the time of their agreement. Future price increases do not apply to existing clients.
7.4 Failed Payments
If a monthly subscription payment fails our team will contact you personally to resolve the matter. Services may be paused if payment is not received within 7 days of the failed charge.
7.5 Taxes
All prices are exclusive of applicable taxes. GST (5%) will be added to all invoices for Canadian clients once RBG is registered for GST/HST. US clients are responsible for any applicable sales tax in their jurisdiction.
8. INTELLECTUAL PROPERTY8.1 RBG Property
The systems, workflows, automations, frameworks, methodologies, training materials, and operational processes developed by Riddall Business Group Inc. remain the intellectual property of Riddall Business Group Inc. at all times.
8.2 Client Licence
Upon payment and go-live clients receive a non-exclusive, non-transferable licence to use their custom RBG Trades OS for their own business operations for the duration of their active subscription.
8.3 Client Content
All content, logos, images, and materials provided by the client remain the sole property of the client.
8.4 Restrictions
Clients may not:
Share, resell, or sublicense the RBG system to any third party
Attempt to reverse engineer or copy RBG's methodology
Use RBG's systems to build competing products or services
9. CONFIDENTIALITY
Both parties agree to keep confidential all proprietary information shared during the course of the service relationship. This includes but is not limited to business data, pricing, client lists, methodologies, and technical systems. This obligation survives termination of the service relationship for a period of 2 years.
10. LIMITATION OF LIABILITY10.1 No Guarantee of Results
While we are committed to delivering the highest quality operating systems — we cannot guarantee specific business results, revenue increases, or lead generation outcomes. Results depend on many factors outside our control including how the client uses the system.
10.2 Liability Cap
To the maximum extent permitted by law — Riddall Business Group Inc.'s total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim.
10.3 Exclusions
Riddall Business Group Inc. is not liable for:
Indirect, incidental, or consequential damages
Lost revenue or lost profits
Platform downtime caused by third-party providers (GHL, Twilio, Stripe, Google etc.)
Data loss caused by client error or third-party service failures
11. DISCLAIMER OF WARRANTIES
Our services are provided "as is" and "as available." We make no warranties — express or implied — regarding the reliability, accuracy, or fitness for a particular purpose of our services beyond what is explicitly stated in the signed Service Agreement.
12. TERMINATION12.1 By Client
Clients may cancel their monthly subscription with 30 days written notice to [email protected]. Setup fees are non-refundable. Monthly fees are non-refundable for the current billing period.
12.2 By RBG
We reserve the right to terminate service with 30 days written notice if a client:
Breaches any material term of their Service Agreement
Fails to make payment as required
Uses our services for unlawful purposes
Engages in abusive behavior toward our team
12.3 Effect of Termination
Upon termination the client's platform access will be maintained for 30 days to allow for data export. After 30 days the sub-account may be deactivated.
SMS Messaging Terms
1. SMS Program Overview
Riddall Business Group Inc. operates an SMS messaging program to communicate with prospects, clients, and other authorized recipients regarding our services. By providing your phone number through any of our forms or communication channels and affirmatively consenting, you agree to these SMS Messaging Terms.
2. Messaging Use Cases
Our SMS program is used for the following purposes:
Lead Communications: Responding to inquiries submitted through our website, scheduling discovery calls, and providing follow-up information about our services.
Sales Communications: Communicating with prospects who have expressed interest in our trades operating system platform.
Account Communications: Sending service notifications, onboarding updates, and operational messages to active clients.
Support Communications: Responding to support requests and ticket updates from active clients.
Billing Communications: Sending invoice reminders and payment confirmations to active clients.
3. Opt-Out Instructions
You may opt out of SMS communications at any time by replying STOP to any message you receive from Riddall Business Group Inc. Upon receiving your opt-out request, you will receive a one-time confirmation message acknowledging that you have been unsubscribed. After confirmation, you will not receive further non-essential SMS messages from us. To resume SMS communications after opting out, you must affirmatively opt in again through one of our forms or by contacting us directly.

5. Message and Data Rates
Message and data rates may apply to all SMS messages you receive from Riddall Business Group Inc., depending on your wireless carrier and plan. Riddall Business Group Inc. is not responsible for any charges incurred from your wireless carrier related to receipt of SMS messages. Please contact your wireless carrier for specific rate information.
6. Message Frequency
Message frequency varies based on your interaction with our team, the nature of your inquiry, and your account status. Frequency is not fixed and may include responses to your direct communications.
7. Carrier Liability Disclaimer
Wireless carriers (including but not limited to major U.S. and Canadian carriers) are not liable for delayed or undelivered SMS messages. Riddall Business Group Inc. is not responsible for messages that fail to deliver due to carrier issues, network outages, device incompatibility, or recipient error.
8. Age Restriction
You must be at least 18 years of age to opt in to and receive SMS communications from Riddall Business Group Inc. By providing your phone number and consenting to receive SMS messages, you represent and warrant that you are 18 years of age or older. If you are under 18, do not submit your phone number through our forms or otherwise consent to receive SMS messages.
9. Privacy
Your privacy is important to us. Information collected through our SMS program is handled in accordance with our Privacy Policy, which can be reviewed at https://riddallbusinessgroup.ca/privacy. We do not share, sell, or distribute SMS opt-in data with third parties for marketing purposes.
10. Changes to SMS Terms
We may update these SMS Messaging Terms from time to time. Continued use of our services and continued opt-in consent after such updates constitutes acceptance of the revised terms.
13. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
In the event of a dispute both parties agree to first attempt resolution through good faith negotiation. If unresolved within 30 days — the dispute shall be submitted to mediation in British Columbia before any legal proceedings are commenced.
For US clients — while these Terms are governed by BC law — nothing prevents a US client from seeking legal remedies available to them under applicable US federal or state law.
14. CHANGES TO THESE TERMS
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
